Terms of Service
Effective date: October 15, 2026
Agreement
Overdue is operated by Adepoco, a California business wholly owned by Ross Shaw ("Adepoco," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of overduepaid.com and the Overdue service (the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for a business, you represent that you can bind that business.
The Service
Overdue sends scheduled, polite reminder emails about unpaid invoices on your behalf and can stop reminders when an invoice is paid in a connected Stripe account. We may improve, change, or discontinue features. We will give reasonable notice of material changes that reduce core functionality for paid plans.
Accounts
You sign in with Google or another method we offer. You are responsible for your account, for keeping access secure, and for all activity under it. Tell us promptly at support@overduepaid.com if you suspect unauthorized access. You must be at least 18 and use the Service for business purposes.
Plans, payment, and refunds
Paid plans are billed through Stripe. The monthly plan is $29 per month and renews automatically until canceled. The lifetime plan is a one-time payment for continued access to the Service for as long as we offer it. Prices exclude applicable taxes. You can cancel a monthly plan anytime in the billing portal, effective at the end of the current period. Payments are non-refundable except where required by law or where we choose to issue a refund. If you believe you were charged in error, contact support@overduepaid.com within 30 days. We may change prices with at least 30 days' notice, and changes apply at your next renewal.
Your content and customers
You keep ownership of the invoices, customer details, templates, and other content you provide ("Your Content"). You grant us a limited license to host, process, and transmit Your Content only to provide the Service. You represent that you have the right to use Your Content and to email your customers about amounts they owe, and that the debts are genuine.
Acceptable use
You agree not to:
- Send spam, harassment, threats, or misleading messages, or email people with no genuine invoice relationship.
- Violate laws, including CAN-SPAM, the Fair Debt Collection Practices Act and state equivalents where applicable, and privacy laws.
- Impersonate others or misrepresent the sender of a reminder.
- Interfere with, probe, or overload the Service, or try to bypass sending limits or security controls.
- Resell or provide the Service to third parties without our written permission.
We may limit sending, pause reminders, or suspend accounts that create abuse, deliverability, or legal risk.
Third-party services
The Service relies on Stripe, Google, Resend, Neon, Vercel, and Cloudflare. Your use of Stripe and Google is also subject to their terms. We are not responsible for third-party services, and outages on their side may affect the Service.
Termination
You may stop using the Service and delete your account at any time. We may suspend or end your access if you breach these Terms or if required by law, with notice where reasonable. On termination, your right to use the Service ends and we handle your data as described in the Privacy Policy.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT ANY INVOICE WILL BE PAID, THAT EMAILS WILL BE DELIVERED, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ADEPOCO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100.
Indemnity
You will defend and indemnify Adepoco against claims, losses, and costs arising from Your Content, your emails to your customers, or your violation of these Terms or the law.
Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you and we consent to their jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other for at least 30 days.
General
These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may update these Terms and will notify you of material changes before they take effect. Continued use after that means you accept the updated Terms.
